01

Who we are

Thrive Mental Health LLC provides virtual intensive outpatient mental health care for adults through licensed clinicians. Thrive is accredited by The Joint Commission for Behavioral Health Care and Human Services. Clinical care is provided by clinicians who are licensed in, or otherwise authorized to practice in, the state where you are located when you receive care. Associate-level clinicians practice under the supervision required by their state board.

These Terms of Service apply to your use of gothrivemh.com, app.gothrivemh.com, the Thrive mobile app and related online services (the "Services"). By using the Services you agree to these Terms. If you do not agree, please do not use the Services.

02

Not for emergencies

Thrive is not an emergency service. If you are in crisis or thinking about harming yourself or someone else, call or text 988 (Suicide and Crisis Lifeline), call 911, or go to the nearest emergency room. Messages, forms and in-app tools are not monitored around the clock.

03

Eligibility

Our services are for adults 18 and older who are located in a state where Thrive provides care. You may only use the Services for yourself, unless you are a referring professional or an authorized representative acting with the person's permission.

04

Clinical care and consent

Whether our program is right for you is decided by a licensed clinician after an assessment. Treatment begins only after you complete our intake and consent forms, which describe the program, telehealth, and your rights. If these Terms and your signed consent forms ever differ about your care, your signed consent forms control. General information on our website is educational and is not medical advice or a substitute for care from a qualified professional.

05

Telehealth

Our services are delivered by secure video and phone. You agree to join sessions from a private place in a state where we provide care and to tell us if your location changes. Technology can fail; if a session is interrupted, your clinician will reconnect with you or reschedule.

06

Recording and AI-assisted documentation

Recording sessions is a required part of our program, and you agree to it in writing in our Consent to Treatment before care begins. Zoom records each session so a written transcript can be made; the audio and video are then deleted. The transcript is part of your clinical record.

Our AI note-drafting tool, which runs under a HIPAA business associate agreement, uses it to draft notes, and a licensed clinician reviews, edits and signs every note and makes every clinical decision.

If you do not agree to recording, we cannot enroll you in the program. If you later withdraw your consent in writing, we will talk with you about whether we can continue your care and help you find other care if we cannot. Please never record, screenshot or transcribe a session yourself. Our Notice of Privacy Practices explains how your health information is protected.

07

Insurance and payment

Thrive works with commercial health insurance plans and, in some states, TRICARE. We check your benefits before you start, but your plan decides what it covers. You are responsible for any amounts your plan does not pay, such as deductibles, copays and coinsurance, as explained before you begin. If you pay without insurance, you have the right to a good faith estimate of expected charges.

08

Your account

Keep your login details private and tell us right away if you think someone else has used your account. Give us accurate information, including about your location, insurance and contact details.

09

Messages, email and texts

If you give us your phone number or email, you agree we may contact you about your care, appointments, billing and your account, including by text message, and that we may give you notices electronically. We will not send you marketing texts unless you separately agree.

Message frequency varies. Message and data rates may apply.

Reply HELP for help and STOP to stop texts at any time.

Carriers are not liable for delayed or undelivered messages.

We do not share your mobile number or text-message consent with anyone for their marketing; see our Privacy Policy.

Email and text may not be fully secure; please do not send urgent or highly sensitive information that way.

10

Acceptable use

Use the Services only for their intended purpose: learning about Thrive, seeking or receiving care, and managing your account. You may not:

use the Services unlawfully, or give false information or someone else's information;

try to access other people's information or our systems without permission, or probe, scan or test them for weaknesses;

interfere with, overload or disrupt the Services;

use bots, scrapers, crawlers, scripts or other automated tools to access, copy, monitor or record the Services, except search engines that follow our robots.txt file;

use automated or scripted visits to test the Services for legal claims or to create evidence for a demand, without our written permission.

Automated or scripted visits are not authorized use of the Services. We may suspend access that puts other people, our clients or the Services at risk.

11

Our content and limits of liability

The Services and their content, including our name and logo, belong to Thrive or its licensors. You may view and print pages for your own personal, non-commercial use; please do not copy, sell or republish our content without permission.

The website and its general information are provided "as is" and "as available". We work to keep them accurate and available, but we do not promise they will always be complete, current or uninterrupted. General information on the website is educational only and is not medical advice for you.

To the extent allowed by law, Thrive is not liable for indirect, incidental or consequential damages arising from your use of the website. We are not responsible for delays or failures caused by events outside our reasonable control, such as internet, power or third-party platform outages.

Your responsibility for misuse. If you break section 10 or the law when using the Services, you are responsible for the losses and reasonable legal fees your misuse causes Thrive, to the extent the law allows. This does not apply to claims about the health care you receive.

Nothing in these Terms limits any liability that cannot be limited by law, including liability for the professional health care services we provide to you.

12

Ending your use

You can stop using the Services at any time. If you are a patient, please talk with your care team before stopping so we can plan a safe transition, including referrals. We may suspend or end access to the website, portal or app if someone misuses them, puts others at risk or breaks the law. Ending online access does not end our duties to you as your health care provider, including access to your records.

13

Disputes

Who this section covers. This section applies if you create an account, book an assessment, become a patient, or otherwise agree to these Terms by checking a box or clicking a button. If you only browse our public website, it does not apply to you, and any dispute will be resolved in the courts described under "Law" below.

Step

What happens

Timing

Step

1. Written notice (required)

What happens

Send your name, contact details, the problem and what you are asking for to legal@gothrivemh.com or our mailing address. Sign it yourself; a lawyer may sign too.

Timing

Before any arbitration or court case

Step

2. Resolve it together

What happens

We work with you to resolve it. Time limits for bringing a claim pause meanwhile.

Timing

60 days

Step

3. Arbitration or small claims

What happens

Binding individual arbitration with the American Arbitration Association under its Consumer Rules, or an individual small claims case.

Timing

Only after the 60 days

Arbitration. The Federal Arbitration Act governs this agreement. Hearings take place by video or phone, or in the county where you live if you prefer. Thrive pays the AAA filing, administration and arbitrator fees for consumer claims, as the AAA Consumer Rules provide, unless the arbitrator finds a claim was brought in bad faith or for an improper purpose. A claim started without the written notice may be paused until the 60 days have passed.

Individual claims only. Claims are brought individually, not as a class, collective or representative action, and an arbitrator may not combine more than one person's claims without both sides' written agreement. If 25 or more similar claims are filed by the same lawyers or organizations, they will be handled in batches of up to 25 at a time under the AAA's mass-arbitration procedures, and time limits pause for claims waiting in line.

Health care claims are not covered. This arbitration agreement does not cover claims about the professional health care services you received from a Thrive clinician. Those are resolved under the law of the state where you received care.

Time limit. Except for claims about the health care services you received, any claim about the website or online Services must be started within one year after it arises, to the extent the law allows. After that it is permanently barred.

Opting out. You can opt out of arbitration by emailing legal@gothrivemh.com, or writing to the address below, within 30 days of first agreeing to these Terms. Include your name and say that you are opting out of arbitration. Opting out does not affect any other part of these Terms or your care.

Our records. Our electronic records of your consent choices, and of the version of these Terms you agreed to and when, may be used to show what you agreed to.

Law. Florida law governs these Terms, except where the law of the state where you receive care must apply. Disputes not sent to arbitration will be heard in the state or federal courts for Palm Beach County, Florida, except claims about health care services, which may be brought where you received care.

14

Other websites

Our Services may link to websites and apps we do not control, such as your insurer, a payment processor or crisis resources. We are not responsible for their content or privacy practices.

15

General terms

These Terms, together with our Privacy Policy, our Notice of Privacy Practices and, for patients, the consent forms you sign, are the whole agreement about the online Services. If any part of these Terms cannot be enforced, the rest still applies. If we do not enforce a part of these Terms right away, we have not given up the right to do so later.

You may not transfer your rights under these Terms; we may transfer ours as part of a merger or sale of the practice, subject to the law that protects your health information. Sections that by their nature should continue (such as ownership, limits of liability and disputes) continue after you stop using the Services.

16

Changes

We may update these Terms. We will post the new version here with a new date, and tell account holders about material changes before they take effect. A change to the Disputes section will not apply to a dispute you have already told us about.
